Terms of Service

1. The service

Kerrigan is a subscription software service built for clinicians and treatment programs. It transcribes clinical sessions, drafts notes from those transcripts, stores the results, and lets you export or delete them. These Terms govern your use of Kerrigan (the “Service”) through latentworx.com and the Kerrigan application. “LatentWorx,” “we,” “us” and “our” mean LatentWorx, Ltd. “You” means the person or organization with the account.

If you use the Service on behalf of a clinic, practice or program, you are confirming that you have authority to accept these Terms for it, and “you” includes that organization.

2. Accounts and sign-in

You create an account by completing sign-up through the Service. You sign in with a single-use link sent to the account email address. Keep that inbox secure — anyone who can read it can sign in as you.

You are responsible for the accuracy of the information on your account and for activity that happens under it. Tell us right away if you believe your account email has been compromised.

3. The trial, and what happens when it ends

New accounts start with a 14-day free trial. We do not ask for a card to start the trial, and nothing is charged unless a card is added.

If the trial ends and no card is on file, your account loses access to the Service. Your notes and other records are not deleted on that account: you can still read, export and delete them, on request, for as long as we hold them. 4. Plans and prices

Current plans and prices are posted on the pricing section of this site, not restated here, because they change. Whatever is posted there when you subscribe is the price you pay, in accordance with the billing conduct in Section 5.

5. Billing conduct

Nothing is charged until you add a card, and adding a card is how you agree to a paid subscription that renews automatically each month. A trial with no card ends on its own and is never charged. Before your first charge after a trial, and before each monthly renewal, our payment provider (Stripe) emails a reminder to your account email address.

Billing is monthly. If you ask for a refund within 7 days of a charge, you get a full refund; after 7 days, a refund is prorated for the unused part of that billing period. You cancel from the billing page in the app, which opens our payment provider’s customer portal, or by emailing support@latentworx.com and we will cancel it for you. Cancelling stops future charges. 6. Acceptable use

Use the Service only for lawful clinical documentation and only for patients or clients you are authorized to treat and document. Do not: use the Service to process information you are not authorized to hold; attempt to access another customer’s account or data; reverse-engineer, scrape or resell the Service; upload content that infringes someone else’s rights; or interfere with the Service’s operation or security.

We do not practice medicine, provide clinical judgment, or offer legal advice, and we do not warrant that any note the Service drafts is complete, accurate or sufficient for your clinical, billing or legal purposes. You are responsible for reviewing and finalizing every note before it becomes part of a patient’s record.

7. Customer data and the Business Associate Agreement

You own the clinical content you put into the Service. Before your first recording, you accept a Business Associate Agreement (the “BAA”) and, if your program is subject to 42 C.F.R. Part 2, a Qualified Service Organization Agreement (the “QSOA”) by click-through inside the application. The current text of each is published at latentworx.com/legal/baa/ and latentworx.com/legal/qsoa/, and is incorporated into these Terms by reference. If anything in the BAA or QSOA conflicts with these Terms as to the handling of protected health information or Part 2 records, the BAA or QSOA controls.

8. Availability; no warranty

We work to keep the Service available and performing well, but we do not guarantee uninterrupted or error-free operation. The Service is provided “as is” and “as available.” To the extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the extent the law allows, neither party’s total liability arising out of these Terms will exceed the fees you paid us in the 12 months before the claim. Neither party is liable for indirect, incidental, consequential, special or punitive damages, or for lost profits or lost data, even if advised they were possible. This section does not limit liability where the law does not allow a limit, and does not limit either party’s obligations under the BAA or QSOA for a breach involving protected health information or Part 2 records.

10. Termination

You may stop using the Service and cancel your subscription at any time, as described in Section 5 and on the Refunds, Renewals and Cancellation page. We may suspend or terminate your account if you materially breach these Terms, the BAA or the QSOA and do not fix the breach within a reasonable time after we tell you about it, or immediately if continued access would create a legal or security risk. On termination, your right to use the Service ends, but your rights to your data under Section 3 and the BAA continue.

11. Changes to these Terms

We may update these Terms as the Service changes. If we make a material change, we will post the revised Terms here with an updated “Last Updated” date and, where practical, tell account holders by email. Continuing to use the Service after a change takes effect means you accept the revised Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
